1. Introduction
These Terms and Conditions regulate all services, engagements, and interactions involving HAAC
HOPE NPC, a duly incorporated Non-Profit Company (NPC) registered under the Companies Act 71 of
2008 and in compliance with the Nonprofit Organisations Act 71 of 1997, serving public benefit and
social development objectives.
2. Vision and Purpose
HAAC HOPE NPC exists to pursue sustainable social change and upliftment through Hunger
Alleviation, Clothing & Care Drives, Emotional & Psychological services, Community Empowerment,
Emergency Relief, Educational support & Youth empowerment, applying all its resources solely
toward the achievement of its non-profit objectives.
3. Legal Status
The NPC operates as a juristic person with perpetual succession, capable of owning property,
entering into contracts, and instituting or defending legal proceedings in its own name.
4. Membership and Participation
Membership (if applicable) is open to individuals or organisations that align with HAAC HOPE NPC’s
mission. The rights and responsibilities of members are governed by the company’s Memorandum
of Incorporation (MOI).
5. Governance Structure
HAAC HOPE NPC is administered by a Board of Directors, consisting of a minimum of three (3)
competent individuals tasked with upholding governance responsibilities, statutory compliance,
ethical accountability, and fiduciary duties as prescribed in the Companies Act.
6. Utilisation of Funds
All funds, whether sourced via donations, grants, or partnerships, shall be deployed exclusively in
support of HAAC HOPE NPC’s constitutional purposes. No portion of income or assets shall be paid
or distributed to any person except as fair compensation for services actually rendered.
7. Public Benefit and Taxation
HAAC HOPE NPC may qualify as a Public Benefit Organisation (PBO) under the Income Tax Act 58 of
1962, enabling tax-deductible donations under Section 18A, subject to approval by the South African
Revenue Service (SARS).
8. Privacy Compliance
The NPC respects and upholds all personal information in accordance with the Protection of Personal
Information Act (POPIA). Data collected is used strictly for operations, reporting, and
communications directly related to HAAC HOPE NPC’s programmes.
9. Limitation of Liability
HAAC HOPE NPC shall not be liable for any loss, injury, or damage resulting from participation in its
services, except where such damage arises due to proven gross negligence or wilful misconduct on
the part of the organisation.
10. Amendments
These Terms and Conditions are subject to amendment by resolution of the Board of Directors of
HAAC HOPE NPC, provided such amendments are consistent with the MOI and applicable South
African legislation.
11. Dissolution Clause
In the event of HAAC HOPE NPC’s voluntary or involuntary dissolution, all residual assets, after
settling liabilities, shall be transferred to a similar NPC or public benefit organisation, as required by
the Companies Act and detailed in the MOI.
12. Governing Law
This document and any disputes arising here from shall be governed and interpreted in accordance
with the laws of the Republic of South Africa.
